These Terms are the agreement between you and HB Services for the use of our website, client portal, diagnostic call, and AI consulting services. We have tried to keep them clear and fair.
Please read them in full. The short version: use the Services lawfully and as intended, you keep ownership of the information you give us, our AI features are helpful but not infallible, and nothing here is a substitute for professional advice.
These Terms of Service (the “Terms”) govern your access to and use of the websites, the client portal, and the services operated by Hambone Services LLC (“HB Services,” “we,” “us,” or “our”), including hbservices.net, app.hbservices.net, and any related subdomains, pages, applications, and features (together, the “Services”).
By accessing or using the Services, by creating an account, or by clicking a control indicating that you accept these Terms, you agree to be bound by them. If you do not agree, do not use the Services.
If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization. Please also read our Privacy Policy, which explains how we handle personal information and is incorporated into these Terms by reference.
HB Services is an artificial-intelligence consulting practice that helps small and mid-sized businesses adopt practical, well-scoped AI tools. We design, advise on, and help implement automation and AI systems tailored to a client’s actual operations.
We operate from the State of Florida, United States. You can reach us about these Terms at legal@hbservices.net.
To use the Services, you must:
The Services are intended for business use and are not directed to children. See Section 12 of our Privacy Policyregarding children’s data.
Some parts of the Services require an Account. You agree to provide accurate registration information, to keep your credentials confidential, and to be responsible for all activity that occurs under your Account. Notify us promptly at support@hbservices.net if you suspect unauthorized use.
You are responsible for the security of the devices and accounts you use to access the Services, including any third-party login you choose to sign in with. We may suspend or close an Account that appears compromised, inactive, or used in violation of these Terms.
The Services currently include:
The Services are provided on an evolving basis. We may add, change, or remove features, and the portal experience is configured per-client over time. We do not promise that any particular feature will remain available.
After you complete the onboarding questionnaire, you may schedule a Diagnostic Call — a complimentary consultation of approximately 90 minutes, conducted by video conference. Scheduling a call creates a calendar event and sends you a calendar invitation with a video-meeting link; by booking, you consent to receiving that invitation.
The Diagnostic Call is informational. It is intended to help both of us understand whether and how we might work together. It does not, by itself, create an Engagement, and it does not obligate you to purchase anything or obligate us to provide any further service.
Please give us reasonable advance notice if you need to reschedule or cancel. We may reschedule a call if necessary and will give you notice if we do. We will not record the call without telling you; if either party wishes to record, that should be agreed at the start of the call.
Access to the Services and the Diagnostic Call is currently provided free of charge.
Any paid consulting, implementation, or ongoing service will be governed by a separate written agreement or statement of work that describes the scope, deliverables, fees, and payment terms for that work. That separate agreement controls for the Engagement it covers. These Terms, on their own, do not obligate you to purchase anything or obligate us to perform paid work.
If we later introduce paid features within the Services, we will present the price and applicable terms clearly before you incur any charge, and you will have the opportunity to decline.
You own your Client Content and Intake Information. We do not claim ownership of it.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and use your Client Content and Intake Information solely to operate and provide the Services to you, to communicate with you, and to prepare for and deliver the Diagnostic Call and any Engagement. This license ends when you delete the content or close your Account, except for content we must retain by law or in routine backups for a limited period.
You represent and warrant that:
You are responsible for the accuracy of what you submit. We handle personal information as described in our Privacy Policy.
When using the Services, you agree that you will not:
We may investigate and respond to suspected violations, including by removing content and suspending access.
The Services include AI Features that generate responses automatically. AI Features are useful but imperfect. Output may be inaccurate, incomplete, outdated, or inappropriate for your situation, and it is not reviewed by a person before you see it.
Do not rely on AI Feature output as a statement of fact or as professional advice, and independently verify anything important before acting on it. You are responsible for how you use AI Feature output.
We do not use your Client Content or your conversations with the AI Features to train foundation models, and we select AI infrastructure providers on terms that do not permit them to train their models on the content we send for processing. See our Privacy Policy for more on how AI processing works.
The Services, the Diagnostic Call, and our consulting communications provide general business and technology guidance only. They are not legal, tax, accounting, financial, investment, medical, or other licensed professional advice. For advice of that kind, consult a qualified, licensed professional.
We do not guarantee any particular result — including any revenue increase, cost reduction, time saving, or other business outcome — from adopting AI or following our recommendations. Outcomes depend on many factors outside our control. Decisions about whether and how to implement any recommendation are yours, and you are responsible for them.
The Services depend on, and may connect to, services operated by third parties — for example, hosting and infrastructure providers, email and calendar providers, and identity providers used for sign-in. When you sign in with or connect a third-party account, you authorize that connection.
Your use of third-party services is also governed by those parties’ own terms and policies. We do not control third-party services and are not responsible for them. If a third party changes, restricts, or discontinues a service, the Services may be affected, and that is not a breach of these Terms by us.
The Services — including their software, design, layout, text, graphics, the Hambone character and artwork, logos, and trademarks — are owned by HB Services or our licensors and are protected by intellectual-property laws. “HB Services” and “Hambone” are our marks; you may not use them without our written permission.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own internal business purposes. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works of the Services.
If you send us suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or obligation to you.
In the course of the Diagnostic Call and any Engagement, each party may receive non-public information of the other that is marked confidential or that a reasonable person would understand to be confidential (“Confidential Information”). Each party will use the other’s Confidential Information only as needed to perform under these Terms and will protect it with at least reasonable care.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to it without a duty of confidentiality, is independently developed, or is rightfully obtained from a third party. A party may disclose Confidential Information if required by law, and, where legally permitted, will give the other party reasonable notice first.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that AI Feature output will be accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HB SERVICES AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
A paid Engagement may set its own limitation of liability, which will control for that Engagement. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
You agree to defend, indemnify, and hold harmless HB Services and its owner from and against any third-party claims, demands, damages, losses, liabilities, and reasonable costs and expenses (including reasonable legal fees) arising out of or related to: your Client Content; your use of the Services; your violation of these Terms; or your violation of any law or the rights of any third party.
These Terms apply for as long as you use the Services. You may stop using the Services at any time, and you may ask us to close your Account by emailing support@hbservices.net.
We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if your use creates risk or legal exposure for us or others, or if we discontinue the Services.
On termination, your license to use the Services ends. Provisions that by their nature should survive — including those on Client Content ownership, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive. We handle your data after termination as described in the Privacy Policy.
We may modify, suspend, or discontinue any part of the Services at any time.
We may also update these Terms. The “Last updated” date at the top shows when the current version took effect. If we make a material change, we will provide reasonable notice — for example, by email to the address on your Account or by a notice within the Services. Your continued use of the Services after a change takes effect means you accept the updated Terms. If you do not agree, you must stop using the Services.
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods.
Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@hbservices.net and to work with us in good faith to resolve the dispute for at least 30 days.
If a dispute is not resolved, it will be brought exclusively in the state or federal courts located in Florida, and you and we each consent to the personal jurisdiction of those courts. Each party waives any objection to venue in those courts.
